Accounts
Sole Proprietorship/DBA
A sole proprietorship exists when a single individual operates a business and owns all assets. A sole proprietor is personally liable for all debts, and business ownership is nontransferable.
Documents needed to open a Sole Proprietorship/DBA:
- Two forms of Identification
- Assumed Name Certification (must be filed with the County Clerk)
Limited Liability Company (LLC)
A Limited Liability Company (LLC) is a hybrid or mix between a partnership and a corporation. The LLC has a taxing structure like a partnership and provides limited liability to the owner(s) like a corporation.
Documents needed to open an LLC
- Two forms of Identification for all signers
- Tax Identification Number (EIN)
- Certificate of Filing (must be filed with the Secretary of State)
- Certificate of Formation or Certificate of Corporation (must be filed with the Secretary of State
- Assumed Name Certificate, as needed. Must be filed with the Secretary of State and with the County Clerk.
Corporation
A Corporation is created when two or more individuals, partnerships or other entities join to form a separate entity for the purpose of operating a business in the state. A corporation has its own legal identity, separate from its owners.
Documents needed to open a Corporation:
- Two forms of Identification for all signers.
- Articles of Incorporation or Certificate of Formation (must also have the Certificate of Filing with the State Seal on it.)
- Bylaws, Board Resolution or Minutes from board meeting.
- If the Corporation is a Non-profit you will need IRS 501 (c)
- Assumed Name Certificate, as needed.
- Tax Identification Number (EIN) (Must be filed with the Secretary of State and with the County Clerk.
Partnership
A Partnership exists when two or more individuals or businesses join to operate a business.
Documents needed to open a Partnership:
- Two forms of Identification for all signers
- Assumed Name Certificate. (Must be filed with the County Clerk.)
- Partnership Agreement
- Filed partnership with Secretary of State
- Tax Identification Number (EIN).
